These Terms and Conditions (“Terms”) govern your use of DukanApp – GST Billing & Inventory Software(“DukanApp”, “Company”, “we”, “our”, “us”), including:

By accessing or using DukanApp, you agree to comply with these Terms.

1. Nature of Service

DukanApp is a Software-as-a-Service (SaaS) platform that enables businesses in India to:

  • Generate GST-compliant invoices

  • Manage inventory

  • Maintain customer and vendor records

  • Generate financial reports

  • Track payments and transactions

DukanApp is a technology platform and not a Chartered Accountant, legal advisor, or tax consultant.

2. GST Compliance Disclaimer

DukanApp provides invoice formats aligned with provisions under:

  • Central Goods and Services Tax Act, 2017 (CGST Act)

  • Integrated Goods and Services Tax Act, 2017 (IGST Act)

  • Applicable GST Rules and Notifications

However:

  • Users are solely responsible for entering correct GSTIN, HSN/SAC codes, tax rates, and invoice details.

  • DukanApp does not verify GST registration validity automatically unless explicitly stated.

  • Users are responsible for filing GST returns (GSTR-1, GSTR-3B, etc.) accurately.

  • The Company shall not be liable for penalties, interest, or notices issued by GST authorities.

3. User Eligibility

You represent that:

  • You are at least 18 years of age.

  • You operate a lawful business in India.

  • You possess valid GST registration if required under Indian law.

  • All information submitted is accurate and up-to-date.

4. Account Registration & Security

To access certain features, you must create an account.

You agree to:

  • Provide accurate business details.

  • Keep login credentials confidential.

  • Immediately notify us of unauthorized access.

  • Accept responsibility for all activities under your account.

We reserve the right to suspend accounts that violate GST laws or these Terms.

5. Subscription Plans & Payments

DukanApp offers Free and Paid subscription plans.

5.1 Billing

  • Subscription fees are payable in advance.

  • Prices are displayed in INR unless otherwise stated.

  • Taxes may apply as per Indian law.

5.2 Refund Policy

  • Payments are generally non-refundable.

  • Refunds, if any, are governed by our Refund Policy.

6. Data Ownership & Storage

  • All business data entered remains the property of the user.

  • DukanApp acts as a data processor.

  • Data may be stored on secure cloud servers located in India or other compliant jurisdictions.

Users are responsible for:

  • Maintaining backup copies of critical financial data.

  • Downloading records before subscription expiry.

7. Data Protection & Confidentiality

We implement reasonable administrative, technical, and physical safeguards.

However, you acknowledge that:

  • Internet transmission is not 100% secure.

  • We cannot guarantee absolute data security.

We comply with:

  • Information Technology Act, 2000

  • Indian IT Rules

  • Applicable data protection standards

8. Prohibited Use

You agree not to:

  • Generate fake invoices

  • Commit GST fraud

  • Use incorrect tax classifications knowingly

  • Upload viruses or malicious software

  • Reverse engineer or copy the platform

Violation may result in immediate termination and reporting to authorities.

9. Intellectual Property Rights

All rights, title, and interest in:

  • Software code

  • Logo

  • Branding

  • Website content

are owned exclusively by DukanApp.

Unauthorized reproduction or redistribution is strictly prohibited.

10. Service Availability & Updates

We may:

  • Modify features

  • Add or remove functionalities

  • Release updates for compliance with GST amendments

Temporary downtime may occur due to:

  • Maintenance

  • System upgrades

  • Government regulation changes

11. Limitation of Liability

To the maximum extent permitted under Indian law:

DukanApp shall not be liable for:

  • GST penalties

  • Tax notices

  • Financial losses

  • Data loss due to user negligence

  • Third-party service disruptions

Total liability shall not exceed the subscription fees paid in the preceding 3 months.

12. Indemnification

You agree to indemnify and hold harmless DukanApp from:

  • Legal claims

  • GST penalties

  • Government notices

  • Losses arising from incorrect invoice usage

13. Termination

We may suspend or terminate your account if:

  • You violate GST laws

  • You misuse the platform

  • You fail to pay subscription fees

  • Fraudulent activity is detected

Upon termination:

  • Access to data may be restricted

  • Premium features will be disabled

14. Amendments to Terms

We reserve the right to update these Terms to reflect:

  • GST law amendments

  • Regulatory requirements

  • Business model updates

Updated Terms will be published with revised date.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of India.

Any disputes shall be subject to exclusive jurisdiction of courts in:
